Terms of Service

Please read these Terms of Service carefully before using ChatBiz. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, please do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of ChatBiz's website, platform, and services ("Services"), operated by ChatBiz ("we," "us," or "our").
By registering for an account, accessing, or using our Services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms in full. If you are using our Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Services
ChatBiz provides an AI-powered WhatsApp customer service platform that enables Nigerian businesses to automate customer conversations, capture orders, and manage customer interactions through the WhatsApp Business API.
Our Services include but are not limited to:
- AI-powered WhatsApp chatbot responses
- Knowledge base management and retrieval
- Order capture and management
- Conversation analytics and reporting
- Integration with Meta WhatsApp Business API
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice where possible.
3. Account Registration
To use ChatBiz, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at legal@chatbiz.ng if you suspect any unauthorised access to or use of your account.
We reserve the right to terminate or suspend your account if any information provided is found to be inaccurate, false, or misleading.
4. Subscription Plans and Payments
ChatBiz offers a free plan and paid subscription plans (Basic and Pro). Paid plans are billed on a monthly basis. All prices are stated in Nigerian Naira and are inclusive of applicable taxes unless stated otherwise.
Payments are processed securely through Paystack, a PCI-DSS compliant payment processor. By subscribing to a paid plan, you authorise us to charge your selected payment method on a recurring monthly basis.
Refund Policy: If you are not satisfied with a paid plan within the first 7 days of subscribing, contact us at legal@chatbiz.ng for a full refund. After 7 days, subscriptions are non-refundable. You may cancel at any time and will retain access until the end of your current billing period.
We reserve the right to change our pricing with at least 30 days' notice to existing subscribers via email.
5. WhatsApp Business API Usage
Our Services depend on the Meta WhatsApp Business API. By using ChatBiz, you also agree to comply with Meta's WhatsApp Business Policy and Meta Platform Terms.
You are responsible for obtaining your own WhatsApp Business API credentials and ensuring your usage complies with Meta's policies. ChatBiz is not responsible for any suspension or termination of your WhatsApp Business account by Meta.
You must not use our Services to send unsolicited messages, spam, or any content that violates Meta's Messaging Policy, Nigerian law, or these Terms.
6. Acceptable Use
You agree not to use ChatBiz to:
- Send spam, unsolicited, or misleading messages to customers
- Impersonate any person, business, or entity
- Distribute malware, viruses, or harmful code
- Engage in fraudulent, deceptive, or illegal activities
- Violate any applicable Nigerian laws or regulations
- Harass, abuse, or harm any individual or group
- Reverse-engineer, copy, or create derivative works of our platform
- Exceed the message limits of your subscription plan
Violation of this section may result in immediate suspension or termination of your account without refund.
7. Data and Privacy
Your use of ChatBiz is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your data as described in our Privacy Policy.
You retain ownership of all data you upload to ChatBiz, including your knowledge base documents and customer conversation data. You grant us a limited licence to process this data solely to provide our Services to you.
We comply with the Nigeria Data Protection Regulation (NDPR) and will handle all personal data in accordance with applicable Nigerian data protection laws.
8. Intellectual Property
The ChatBiz platform, including its software, design, logos, and content, is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names.
You are granted a limited, non-exclusive, non-transferable licence to use our Services solely for your internal business purposes during the term of your subscription.
9. Limitation of Liability
To the maximum extent permitted by applicable law, ChatBiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability to you for any claim arising from your use of our Services shall not exceed the total amount you paid to us in the 3 months preceding the claim.
We do not guarantee that our Services will be uninterrupted or error-free. We are not responsible for any actions taken by Meta that affect your WhatsApp Business account.
10. Termination
You may cancel your account at any time from your dashboard. Upon cancellation, your paid plan access continues until the end of the current billing period. Free plan accounts may be deleted after 90 days of inactivity.
We reserve the right to suspend or terminate your account immediately, without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law.
Upon termination, your right to use our Services ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless we are legally required to retain it longer.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Before initiating any legal action, we encourage you to contact us at legal@chatbiz.ng to attempt to resolve any dispute amicably.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you via email at least 14 days before significant changes take effect.
Your continued use of our Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using our Services and cancel your account.
